NAIRAFX PLATFORM TERMS
Clear rules for a safer member marketplace.
These Terms explain how members may use NairaFX to discover market activity, communicate and coordinate lawful peer-to-peer currency exchange.

1. Acceptance and eligibility
These Terms of Use (“Terms”) govern your use of NairaFX Change, the NairaFX website and related member services (collectively, “NairaFX” or the “Platform”). By registering, browsing as a member, submitting information, creating a listing, reserving a trade, purchasing platform tokens or using a related service, you agree to these Terms and our Privacy Policy.
You must be legally able to enter into an agreement and must provide accurate, current and complete information. You are responsible for safeguarding your login details, password and one-time verification codes. You must not permit another person to use your account.
2. What NairaFX provides
NairaFX provides member marketplace, rate-information, listing, reservation, messaging, trade-room, verification, notification and related coordination tools. Rate information and member listings are member-reported activity for reference; they are not financial advice, an official exchange rate, a binding NairaFX quote or a guarantee that any trade will be completed.
3. Member verification and responsibilities
We may require email verification, profile details, identity documents, proof of address, business documents, source-of-funds information or other checks before enabling or continuing certain features. We may limit, suspend, refuse or review access where information is incomplete, inaccurate, inconsistent, suspicious, prohibited by law or presents a risk to members or the Platform.
You represent that your funds, documents, listings and transactions are lawful; you have authority to use any payment route or receiving account you provide; and you will comply with all applicable laws, foreign-exchange rules, sanctions, anti-money-laundering and counter-terrorist-financing requirements.
4. Receiving accounts and third-party accounts
To use features that require settlement details, you may be asked to add one or more receiving accounts to your NairaFX profile. You must provide accurate account, beneficiary, currency and route information, and you must promptly correct information that becomes inaccurate. A saved receiving account helps NairaFX present accounts that are appropriate for the selected currency and trade route; it does not verify, guarantee or insure a payment.
You may add only an account that you own or are properly authorised to use. If you add a client or other third-party account, you confirm that the account holder has given clear authority for the intended use, that the beneficiary information is accurate, and that use of the account complies with applicable law and the payment provider’s rules. You remain responsible for obtaining and retaining any required consent and supporting evidence.
You must not add an account using false, misleading, stolen, borrowed, unauthorised or mismatched beneficiary details. Do not edit or remove settlement details that are relevant to an active reservation or trade without first resolving the matter through the trade room or NairaFX Support. NairaFX may request additional information, restrict a route, reject or remove an account entry, or suspend related features where details are incomplete, inconsistent, unauthorised, suspicious or prohibited.
5. Listings, reservations and trades
Members are responsible for the accuracy of their listings, availability, rates, limits, delivery estimates, payment routes and communications. A reservation or trade-room action records activity on the Platform; it does not make NairaFX a counterparty to the exchange or create an obligation for NairaFX to settle, reimburse or guarantee a member transaction.
Before taking any action, review the other member’s profile, verification status, listing details, payment instructions and the trade-room record. Keep evidence of communications and payments where appropriate. Do not send funds outside agreed, lawful instructions, and do not rely on screenshots, messages or external links without independently checking them.
6. Payment routes and payment safety
Members choose and agree their own lawful payment routes. You must not use stolen, unauthorised, third-party or unlawfully obtained funds, accounts or payment credentials. Do not ask another member for their password, OTP, card PIN or bank login details. Notify NairaFX promptly if you suspect fraud, account compromise, coercion or a prohibited transaction.
7. Platform tokens, plans and subscriptions
NairaFX may offer platform-use tokens, plans or subscriptions that unlock specified Platform features, such as listings, price edits, reservations, rate reports or visibility options. These products are for Platform use only. They are not currency, deposits, stored value, investment products, transferable financial instruments, FX balances or escrow funds.
Where a token purchase uses bank transfer or an enabled payment provider, credits are applied only after the relevant payment is confirmed under our process. We may correct obvious errors, reverse credits obtained through fraud or error, and change future product pricing or availability with notice where appropriate.
8. Prohibited conduct
You must not use NairaFX to deceive, defraud, impersonate, evade law or regulatory requirements, launder money, finance terrorism, breach sanctions, manipulate rates, post false or misleading listings, harvest data, send spam, introduce malware, interfere with the Platform, or infringe another person’s rights. You must not use the Platform for any unlawful, harmful or unauthorised purpose.
9. Privacy, communications and intellectual property
Our processing of personal data is described in our Privacy Policy. We may send essential security, verification, reservation, trade and service communications. Optional rate reports and marketing communications are subject to your preferences and applicable law. NairaFX, its software, branding and content are protected by applicable intellectual-property laws; you receive a limited, revocable right to use the Platform in accordance with these Terms.
10. Suspension, disputes and enforcement
We may investigate reports, request information, remove content, restrict a listing, suspend or terminate access, preserve records, or take other reasonable action to protect members, the Platform and legal compliance. Members remain responsible for resolving their direct transaction disputes. NairaFX may provide records or administrative assistance but is not obliged to decide, fund or settle a member dispute unless we expressly agree in writing.
11. Risk, disclaimers and limitation of liability
Currency exchange and peer-to-peer transactions involve risk, including price movement, counterparty default, payment delays, fraud, regulatory change and technical interruption. You use NairaFX at your own risk and should obtain independent legal, financial, tax or regulatory advice where needed.
To the maximum extent permitted by applicable law, NairaFX does not warrant that listings, rates, member information, availability or third-party payment routes are complete, accurate, safe, lawful or uninterrupted. NairaFX will not be liable for indirect, incidental, special, consequential or punitive loss, or for a member’s independent trade decision or counterparty conduct. Nothing in these Terms excludes liability that cannot lawfully be excluded.
12. Changes, governing law and severability
We may update these Terms to reflect changes in the Platform, security practices, providers or applicable law. The current version will be published on this page with an effective date. Continued use after the effective date means you accept the updated Terms, except where law requires another form of notice or consent.
These Terms are governed by the laws of the Federal Republic of Nigeria, subject to any mandatory law that applies to you. If a provision is unenforceable, the rest of these Terms remains in effect.
